Manz AG sells subsidiary in the USA to ekvip automation GmbH

Reutlingen, July 11, 2025 - Manz AG announces that Martin Mucha, insolvency administrator of Manz AG, and ekvip automation GmbH, Leipzig, have signed a purchase agreement on July 2, 2025, for the acquisition of the shares in Manz USA Inc, a subsidiary of Manz AG based in North Kingstown. The closing of the transaction is still subject to conditions precedent. The proceeds from the sale will go to the insolvency estate of Manz AG. The parties have agreed not to disclose the purchase price.
ekvip automation GmbH is a software company specializing in automation technology for special plant engineering. Its range of services includes PLC programming, the development of individual software frameworks and libraries as well as comprehensive service and after-sales services. With the acquisition of Manz USA, ekvip automation GmbH is now expanding its international field of activity and strengthening its presence on the North American market. In future, the company will support service customers there, not only with maintenance and servicing, but also with the further development and optimization of their system software.
Insolvency administrator Martin Mucha is satisfied: “With ekvip automation GmbH, we have found a very good solution to save the location in the USA and, in particular, to ensure the continued support of Manz AG's former customers”.
Ms. Katja Wachsmuth, Managing Director of ekvip automation GmbH, is pleased with the successful takeover: "Our strategic goal is to grow in the USA and to acquire new customers. The existing customer relationships of Manz USA and the competence of the local employees complement each other ideally with our expertise in the field of PLC programming and automation. This allows us to offer customers hardware and software solutions from a single source."
On February 24, 2025, the Local Court of Stuttgart opened insolvency proceedings over the assets of Manz AG, a developer of production solutions for lithium-ion batteries, electronic components and devices in the automotive and e-mobility, electronics, energy and battery manufacturing sectors, and appointed attorney Martin Mucha from the law firm Grub Brugger as insolvency administrator.
The takeover of 300 employees at the Reutlingen site and the acquisition of movable property, plant and equipment by Tesla were implemented at the beginning of the year. In the same period, the subsidiary in Slovakia and the subgroup in Asia were sold.
Options are still being examined for the remaining subsidiary in Italy.
Manz AG's operating business has already been discontinued. Manz AG is being wound up as part of the insolvency proceedings.
